About these terms
These terms are an agreement between Liam Roche, trading as Orion Software, [business address], United Kingdom (“we”, “us”), and the business that installs Vendue on its Shopify store (“you”). By installing or using Vendue you agree to them. Shopify’s own terms continue to apply to your use of Shopify.
What Vendue provides
Vendue is a Shopify app that runs timed online auctions on your own storefront. It creates and manages lots, accepts bids, closes lots and passes the result to Shopify, which invoices the winner. Vendue is not a marketplace, is not a party to any sale, and takes no share of what you sell.
Your responsibilities as the seller
- The sale is between you and your buyer. You’re responsible for what you sell, for describing it accurately, and for delivering it to winners who pay.
- You’re responsible for your own auction terms and for meeting the consumer, distance-selling and auction rules that apply where you and your buyers are, including any right your buyers have to cancel an online purchase.
- You must not bid on your own lots, or have anyone bid on your behalf to raise the price.
- You must not use Vendue to sell anything illegal or anything Shopify’s rules don’t allow, or in a way that harms Vendue, Shopify or other users.
- You must have a lawful basis for the customer data Vendue handles for you, and tell your customers about it in your own privacy notice.
Plans, trials and billing
- Billing is through Shopify. Charges appear on your Shopify bill and are taken by Shopify. Plans, prices and lot allowances are shown in the app and on our pricing page; prices exclude any taxes Shopify adds.
- Plans are billed monthly or yearly. The Free plan costs nothing.
- Free trials: paid plans include a 7-day free trial. Shopify allows one trial of each plan per store.
- Lot allowance: each plan includes a number of lots per usage month. Scheduled lots in a month your plan doesn’t cover are held, not opened, until the next month or a plan change.
- Fair use on Max: Max has no fixed lot allowance and is for fair use, which is up to 2,000 lots a month. If you believe you’ll need more, contact us at hello@vendueauctions.com before you schedule them, so we can make sure Vendue is ready for your sales. If a store goes beyond fair use, we’ll contact you first; we never pause or cancel lots that are running or scheduled.
- Changing plans: upgrades start straight away and Shopify prorates the charge. Downgrades, and moving from yearly to monthly, take effect at the end of the period you’ve paid for.
- Cancelling: choose the Free plan or uninstall Vendue at any time. We don’t refund part-used periods, including yearly plans when you uninstall; Shopify’s own billing rules also apply.
Service availability and support
We work to keep Vendue running reliably and check every auction continuously, but we can’t promise the service will never be interrupted. If bidding is interrupted, no auction ends during the interruption, and bids placed before it always stand. An auction that was due to end gets a fair final stretch: after an interruption of under 2 minutes it gets its anti-snipe time again; after 2 to 30 minutes it reopens with 15 minutes left; after a longer one, it follows the option you choose in Settings (the same time the next day, a fresh final stretch, or held until you set a new end time, which falls back to the same time the next day after 12 hours). After an interruption of 2 minutes or more, everyone who bid is emailed the new end time, and so are you. An auction due to open while Vendue is unavailable opens as soon as it’s back. The winner and price are always decided by the bids placed. We’ll give notice of planned maintenance where we can. Support is by email at hello@vendueauctions.com, and we reply as soon as we can.
Data
Our Privacy policy explains what we process. For your customers’ data, you are the controller and we are your processor, and these data processing terms apply:
- We process your customers’ data only to provide Vendue, on your instructions (which are these terms and how you use the app).
- Everyone who can access it is bound by confidentiality, and we keep it secure as described in the Privacy policy.
- We use the sub-processors listed in the Privacy policy, and will tell you before adding or changing one; you may object and uninstall.
- We help you respond to your customers’ data requests. Shopify’s data request and erasure requests reach us automatically.
- We tell you without undue delay if we become aware of a breach affecting your customers’ data.
- We delete your customers’ data after you uninstall, as set out in the Privacy policy, and give you information you reasonably need to check we meet these terms.
Uninstalling
When you uninstall, auctions that haven’t finished are cancelled and their bidders told. Invoices already sent to winners stay valid in Shopify. 48 hours later your store’s Vendue data is erased (see the Privacy policy). To finish running auctions first, use “Leaving Vendue” in the app’s settings before you uninstall.
Intellectual property
Vendue and its software, design and content belong to us. Your products, descriptions, images and settings remain yours; you allow us to use them only to provide Vendue to you.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can’t be limited by law. Otherwise: we aren’t liable for loss of profits, sales, revenue, data or goodwill, or for indirect or consequential loss, including the outcome or price of any auction. Our total liability to you in any 12 months is limited to the fees you paid us in that period, or £100 if higher.
Suspension and ending
You can stop using Vendue at any time by uninstalling it. We may suspend or end your use if you seriously or repeatedly break these terms, or if we must to comply with the law or Shopify’s rules; where possible we’ll tell you first and give you time to put things right. We may end the service for everyone by giving at least 90 days’ notice.
Changes to these terms
We may update these terms. For a significant change, we’ll tell you by email or in the app at least 30 days before it takes effect. If you don’t agree, you can uninstall before then.
Law
These terms are governed by the law of England and Wales, and its courts have jurisdiction.
